Shoptoli Terms of Use

This document is an electronic record in terms of the Information Technology Act, 2000 (“IT Act, 2000”), the applicable rules thereunder, and the provisions pertaining to electronic records in various statutes as amended by the Information Technology Act, 2000. This electronic record is generated by a computer system and does not require any physical or digital signatures.
This document is published in accordance with the provisions of Rule 3 (1) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, which require publishing the rules and regulations, privacy policy, and Terms of Use for access to or usage of the www.shoptoli.in website.


The domain name www.shoptoli.in, including the related mobile site and mobile application (hereinafter referred to as the “Platform”), is owned and operated by Shoptoli Private Limited (hereinafter referred to as “Shoptoli”), a company incorporated under the Companies Act, 2013, with its registered office at Roop Tower, Nimtard, Purulia, West Bangal-723101.


For the purpose of these Terms of Use (hereinafter referred to as “ToU”), wherever the context so requires, ‘you’ and ‘your’ shall relate to any natural or legal person who has agreed to become a Seller on the Platform by providing registration data while registering on the Platform using computer systems. The word ‘user’ shall collectively imply a Seller, a Buyer, and any visitor on the Platform, and the terms ‘we’, ‘us’ and ‘our’ shall mean Shoptoli.


Your use of the Platform and the features therein is governed by the following terms and conditions (ToU), including applicable policies available on the Platform, notifications, and communications sent to you on the Platform, which are incorporated herein by way of reference. If you transact on the Platform, you shall be subject to the policies that are applicable to the Platform for such transactions. By mere use of the Platform, you shall be contracting with Shoptoli, and these terms and conditions, including the policies, constitute your binding obligations to Shoptoli.


When you use any current or future services provided by us through the Platform, you will be subject to the rules, guidelines, policies, terms, and conditions applicable to such services, and they shall be deemed incorporated into the ToU and considered a part and parcel of the ToU. We reserve the right, at our sole discretion, to change, modify, add, or remove portions of the ToU at any time. We will notify you through any of the communication modes mentioned in this ToU in case of any changes or updates to the ToU that materially impact your use of the Platform. Your continued use of the Platform following the changes or updates will mean that you accept and agree to the revisions.


As long as you comply with the ToU, we grant you a personal, non-exclusive, non-transferable, and limited privilege to enter and use the Platform.
ACCESSING, BROWSING, OR OTHERWISE USING THE PLATFORM INDICATES YOUR AGREEMENT WITH ALL THE TERMS AND CONDITIONS UNDER THE ToU. PLEASE READ THE ToU CAREFULLY BEFORE PROCEEDING. By implicitly or expressly accepting the ToU, you also accept and agree to be bound by all of Shoptoli’s policies applicable to you, as amended from time to time.

The domain name www.shoptoli.in, including the related mobile site and mobile application as well as the Vendor portal (vendor.shoptoli.in) (hereinafter referred to as the “Platform”) is owned and operated by Shoptoli Internet Private Limited (hereinafter referred to as “Shoptoli”), a company incorporated under the Companies Act, 2013, with its registered office at Roop Tower, Nimtard, Purulia, West Bangal-723101.
For the purpose of these Terms of Use (hereinafter referred to as “ToU”), wherever the context so requires, ‘you’ and ‘your’ shall relate to any natural or legal person who has agreed to become a Vendor on the Platform by providing registration data while registering on the Platform using computer systems. The word ‘user’ shall collectively imply a Vendor, a Buyer, and any visitor on the Platform, and the terms ‘we’, ‘us’ and ‘our’ shall mean Shoptoli.


Your use of the Platform and the features therein is governed by the following terms and conditions (ToU), including applicable policies available on the Platform, notifications, and communications sent to you on the Platform, which are incorporated herein by way of reference. By mere use of the Platform, you shall be contracting with Shoptoli, and these terms and conditions, including the policies, constitute your binding obligations to Shoptoli.


When you use any current or future services provided by us through the Platform, you will be subject to the rules, guidelines, policies, terms, and conditions applicable to such services, and they shall be deemed incorporated into the ToU and considered a part and parcel of the ToU. We reserve the right, at our sole discretion, to change, modify, add, or remove portions of the ToU at any time. We will notify you through any of the communication modes mentioned in this ToU in case of any changes or updates to the ToU that materially impact your use of the Platform. Your continued use of the Platform following the changes or updates will mean that you accept and agree to the revisions.

Vendor Eligibility

The use of the Platform is available only to persons who can form legally binding contracts under the Indian Contract Act, 1872. Persons who are “incompetent to contract” within the meaning of the Indian Contract Act, 1872, including minors, undischarged insolvents, etc. are not eligible to use the Platform.


If you are a minor, i.e., under the age of 18 years, you shall not register as a Vendor on the Platform, transact, or use the Platform. Shoptoli reserves the right to terminate your registration and/or refuse you access to the Platform if it is brought to Shoptoli’s notice or discovered that you are under the age of 18 years.
If you register as a business entity, you represent that you are duly authorised by the business entity to accept the ToU and you have the authority to bind the business entity to the ToU.

Your Account and Registration Obligations
In the course of your use of the Platform, you agree to furnish your details and information as requested by us from time to time, including but not limited to, the following information, to register as a Vendor:

  • Vendor Complete Name
  • Vendor Complete Address
  • Vendor Complete Contact Details
  • Vendor Grievance Officer details for Consumer Complaints
  • Phone Number
  • Email Address
  • GSTIN
  • PAN
  • Business PAN
  • Pincode
  • Pick-up Address
  • Registered Address – Principal geographic address of headquarters and all branches
  • Bank Account Details
  • Account Holder Name
  • Cancelled Cheque
  • Signature
  • Display Legal Name
  • Legal Name / Trade Name
  • Contractual information (SLA)
  • Total price in single figure of any goods / services (including breakup of charges, if any)
  • Relevant details of goods including Manufacturer / Packer / Name and Complete Address
  • Relevant details of imported goods including Importer’s Name and details with correct Country of Origin (full country name)
  • Relevant guarantees or warranties applicable to all goods / services you are selling on the Platform.

You agree that you have all necessary licences and permits for sales on the Platform, which shall include but not be limited to the licences required under all applicable laws.


You shall remain responsible for maintaining confidentiality of this information, as well as your display name, login, and password details. You agree that if you provide any information which is untrue, inaccurate, not current, or incomplete, or if we have reasonable grounds to suspect that such information is untrue, inaccurate, not current, incomplete, or not in accordance with the ToU, we shall have the right to suspend or terminate your account on the Platform or indefinitely block you from accessing the Platform.


You provide the power and authority to us to address customer grievances on your behalf in respect of products sold by you. This authority shall include performing incidental acts which are specifically required to be carried out to perform the authority granted herein.
You also provide your consent to populate your details, including, but not limited to, the Vendor Address, provided by you at the time of registration on the Vendor Portal (vendor.shoptoli.in), on the products listed by you on the Platform.

Vendor Account Deactivation

As per our policy, if a Vendor requests for a closure of the account, the account will be put on hold for a period of 90 days to ensure smooth closure of transactions which have been made prior to this closure request. During this period, the account will remain available to the said Vendor for downloading payment and taxation reports, if required.


After 90 days, the Vendor will be required to reach out to us confirming that they have downloaded the reports and requesting deactivation again. Upon receiving this confirmation, the Vendor’s account will be deactivated, provided there are no outstanding payments due from the Vendor. Certain information will, however, be retained by Shoptoli at all times, such as registered mobile number, registered email ID, GSTIN, and other transaction-related information. Such information is retained for audit purposes and to prevent fraudulent acts by Vendors in the future.


If a Vendor decides to commence business with Shoptoli again, they will not be able to create a new account, but the older account can be restored if required.

Communications

When you use the Platform or send emails, data, information, or other communication to us, you agree and understand that you are communicating with us through electronic records and you consent to receive communications via electronic records from us periodically or as required. We may communicate with you by email or any other mode of communication, electronic or otherwise.

Platform for Transaction and Communication

The Platform is a medium that users utilise to independently meet and interact with one another for their transactions. Shoptoli is not and cannot be a party to any transaction or dispute between users on the Platform.


Consequently:

  • All commercial/contractual terms are offered by you and agreed upon between you and Buyers alone. These terms include (without limitation) price, shipping costs, payment methods and terms, date, period, and mode of delivery, warranties, and after-sales services related to products and services. Shoptoli does not determine, advise, control, or involve itself in the offering or acceptance of such commercial/contractual terms between you and Buyers.
  • Shoptoli does not make any representations or warranties regarding specifics (such as quality, value, and saleability) of the products or services proposed to be sold, offered, or purchased on the Platform. Shoptoli does not implicitly or explicitly support or endorse the sale or purchase of any products or services on the Platform. Shoptoli accepts no liability for any errors or omissions of third parties in relation to the products and services.
  • Shoptoli is not responsible for any non-performance or breach of any contract between you and Buyers. Shoptoli cannot and does not guarantee that you and Buyers will perform transaction(s) concluded on the Platform. Shoptoli shall not and is not required to mediate or resolve disputes or disagreements between you and Buyers.
  • Shoptoli does not make any representations or warranties regarding item-specifics (such as legal title, creditworthiness, or identity) of any of its users. You are advised to independently verify the bona fides of any particular Buyer you choose to deal with on the Platform and use your best judgment in that regard.
  • Shoptoli does not, at any point in time during a transaction between you and a Buyer on the Platform, come into or take possession of any of the products or services offered by you, gain title to, or have any rights or claims over the products or services offered by you to the Buyer. At no time shall Shoptoli hold any right/title to or interest in the items nor have any obligations or liabilities with respect to such a contract. Shoptoli is not responsible for unsatisfactory or delayed performance of services, damages, or delays as a result of items being out of stock, unavailable, or back-ordered.
  • The Platform is only a medium that can be utilised by you to reach a larger customer base to sell items or services. Shoptoli only provides a platform for communication, and it is agreed that the contract for sale of any products or services shall be a strictly bipartite contract between you and the Buyer.
  • You release and indemnify Shoptoli and/or any of its directors, officers, and representatives from any cost, damage, liability, or other consequence of any of the actions of users on the Platform and specifically waive any claims that you may have in this regard under any applicable law. Notwithstanding its reasonable efforts on that behalf, Shoptoli cannot control the information provided by other users which is made available on the Platform. You may find other users’ information to be offensive, harmful, inaccurate, or deceptive. Please use caution and practise safe trading when using the Platform. Please note that there may be risks in dealing with underage persons or people acting under false pretences.

Platform Services

Shoptoli provides marketplace platform technology and related services. These include:

  • Development and/or change management of technology provided,
  • Procurement of third-party software,
  • Software and technical support,
  • Console access, connectivity, file and document storage, authentication and authorization,
  • Goods and Service Tax (GST) system for compliance, including enabling GSP (GST Suvidha Provider) services where applicable,
  • Email alerts related to services being provided,
  • Reconciliation, dashboard access, and reports to facilitate reconciliation.

Shoptoli also provides logistics services through its logistics service providers (“LSPs”). LSPs may use surface or air transport and offer multiple delivery options, such as next-day delivery, same-day delivery, priority delivery, no-rush delivery, etc. Payment methods may include cash on delivery or prepaid methods (e.g., debit card, credit card, etc.).


Shoptoli offers services to assist vendors with the liquidation of returned and unsellable inventory. If you choose to engage us for such services, we will assist you with the liquidation process.

Use of the Platform

You agree and understand that Shoptoli and the platform merely provide hosting services for registered users and visitors. All items listed or advertised and their content are created by registered vendors, and Shoptoli bears no responsibility or liability for such third-party content.


Shoptoli does not originate or initiate transmissions, nor does it select the sender or receiver of the transmission or alter the information contained in the transmission. Shoptoli acts solely as an intermediary and does not interfere in transactions between buyers and vendors.

Principles Governing Use

You agree, undertake, and confirm that your use of the platform shall strictly adhere to the following binding principles. You shall not host, display, upload, modify, publish, transmit, update, or share any information, content, or images that:

a. Belong to another person without rights to do so;
b. Are harmful, harassing, defamatory, obscene, pornographic, libelous, invasive of privacy, hateful, racially or ethnically objectionable, disparaging, encourage money laundering or gambling, unlawful in any way, threatening, or harassing;
c. Are false, inaccurate, or misleading;
d. Are patently offensive (including sexually explicit content, obscenity, racism, hatred, or violence);
e. Harass or encourage harassment of others;
f. Involve spam, junk mail, unsolicited communication, or chain letters;
g. Promote illegal activity or abusive conduct;
h. Infringe third-party rights (including intellectual property, privacy, or publicity rights);
i. Promote pirated or unauthorized works, devices, or media;
j. Contain restricted or password-only pages, hidden URLs, or links to such pages;
k. Exploit people inappropriately or solicit personal information;
l. Provide instructions for illegal activities (e.g., making weapons, creating viruses);
m. Contain unauthorized videos, images, or personal material of others;
n. Attempt to gain unauthorized access or solicit personal data unlawfully;
o. Engage in unauthorized commercial activities without Shoptoli’s prior written consent;
p. Solicit or promote gambling activities;
q. Interfere with another user’s enjoyment of the platform;
r. Contain material deemed inappropriate or prohibited by Shoptoli;
s. Harm minors in any way;
t. Infringe patents, trademarks, copyrights, or proprietary rights;
u. Violate applicable laws;
v. Deceive or mislead about message origins or communication;
w. Impersonate another person or entity;
x. Contain viruses, malware, trojans, or other harmful programs;
y. Threaten the sovereignty, security, or unity of India, harm foreign relations, incite offences, or offend national or religious sentiments;
z. Offer trade in prohibited or restricted items;
aa. Create liability for Shoptoli or cause disruption of services.

Additional Restrictions

  • You shall not use automated tools (robots, spiders, scrapers, etc.) to access or copy platform content.
  • You shall not hack, mine passwords, or breach security features.
  • You shall not test vulnerabilities or trace other users’ information.
  • You shall not interfere with transactions or platform functionality.
  • You shall not forge identities, impersonate others, or misrepresent yourself.
  • You shall not misuse the platform for unlawful purposes.
  • You shall comply with the Information Technology Act, 2000, applicable domestic and international laws, GST, FSSAI, Legal Metrology, Customs, and all other relevant regulations.

By providing information to Shoptoli, you grant us a non-exclusive, worldwide, perpetual, royalty-free, sublicensable license to use your content for promotional, advertising, and business purposes.


Vendors must ensure accuracy in product listings and must not mislead buyers by exaggerating product features.


You may not solicit or advertise to other vendors on the platform without consent. Any misuse of platform information (such as for harassment or unsolicited marketing) is prohibited.


Shoptoli reserves the right to monitor and remove content that violates these terms but does not take responsibility for user-generated content. Vendors remain solely responsible for their postings and communications.

Promotions & Campaigns

From time to time, Shoptoli may organize promotional campaigns with third-party sponsors for the benefit of customers and vendors. Participation may be based on objective eligibility criteria, and qualified vendors will be auto-enrolled. Vendors not qualifying may opt-in manually but will bear the cost of such campaigns if applicable.

Compliance & Data Protection

  • Vendors must strictly comply with Shoptoli’s ethical policies and avoid collusion, price-fixing, or cartel-like activities.
  • Vendors must ensure that customer data is processed only for authorized purposes and in compliance with applicable data protection laws.

Final Terms

This Terms of Use (ToU), along with its annexures, constitutes the entire agreement between Shoptoli and the vendor, overriding any prior agreements. Modifications, amendments, or variations to the ToU may be made by Shoptoli as required.

Selling on Shoptoli

As a registered Vendor, you may list item(s) for sale on the Shoptoli platform in accordance with the policies incorporated into this Terms of Use (ToU). You must be legally permitted to sell the item(s) you list and must hold all required licenses, registrations, and permits for such sales.


You must also ensure that the listed items do not infringe upon the intellectual property, trade secrets, proprietary rights, publicity rights, or privacy rights of third parties. Listings may include only text descriptions, graphics, images, or videos that accurately describe the item offered for sale

  • All items must be placed in the correct category.
  • All listed items must remain in stock to ensure successful order fulfillment.
  • Product descriptions must not be misleading and must match the actual condition of the item.
  • If a product does not match its description, you agree to refund any payment received from the Buyer.

You may not list the same product in multiple quantities across different categories. Shoptoli reserves the right to delete duplicate or redundant listings. Additionally, Shoptoli may restrict the sale of products originating from specific countries.


When multiple vendors list the same product across different or similar product pages, Shoptoli reserves the right to consolidate and present the most accurate product data to ensure the best customer experience.

Special Categories

  • Food & Nutrition
    Vendors must comply with FSSAI E-Commerce regulations regarding minimum shelf-life requirements and any amendments thereto.
  • Pharmaceuticals & Drugs
    Vendors must possess all necessary licenses and permits for sale on the platform. This includes, but is not limited to, compliance with the following laws and regulations:
  • Drugs and Magic Remedies (Objectionable Advertisement) Act, 1954
  • Poisons Act, 1919
  • Narcotic Drugs and Psychotropic Substances Act, 1985
  • Bureau of Indian Standards Act, 2016
  • Infant Milk Substitutes, Feeding Bottles and Infant Foods (Regulation of Production, Supply, and Distribution) Act, 1992
  • Drugs and Cosmetics Act, 1940 & related Rules
  • Cosmetics Rules, 2020
  • Medical Devices Rules, 2017
  • Pharmacy Act, 1948
  • Pharmacy Practice Regulations, 2015
  • Drugs (Prices Control) Order, 2013

Vendors must notify Shoptoli of any change in their registered pharmacist within 7 days and provide documentation for the newly endorsed pharmacist within 7 days of their appointment.

Logistics

As a Vendor, you are required to dispatch products and/or services to Buyers within the timelines specified in this ToU to ensure timely delivery.

  • You are solely responsible for arranging transit insurance for products sold through the platform. Shoptoli will not undertake or provide insurance for products sold by vendors.
  • Shoptoli facilitates logistics services through its logistics partners to improve shipping efficiency and customer experience.
  • Shoptoli facilitates transportation of products from the vendor pick-up location to the Source Mother Hub (the nearest hub to your location). Vendors may, at their discretion, use Shoptoli’s logistics partners for routing shipments.
  • Vendors are responsible for transporting products to the Source Mother Hub at their own cost.

In the event of a product return by the Buyer, Shoptoli reserves the right to recover transportation costs from the Vendor. This includes:

  • The cost of transporting products from the Source Mother Hub to the delivery location (if separately charged by logistics partners to Shoptoli), and
  • The cost of returning products from the delivery location back to the Source Mother Hub.

Compliance on Selling of Goods / Services

As a Vendor on Shoptoli, you must ensure full compliance with the provisions of Integrated Goods and Services Tax (IGST), Central Goods and Services Tax (CGST), Union Territory Goods and Services Tax (UTGST), and State Goods and Services Tax (SGST) for all goods and services supplied by you.


It is solely your responsibility to:

  • Charge the appropriate Goods and Services Tax (GST) on your supplies, and
  • Remit the collected taxes to the Government.

Shoptoli will not be held responsible for any deficiencies, non-compliance, or omissions on your part.

Tax Collection at Source (TCS)

In line with applicable provisions under IGST, CGST, UTGST, or SGST, Shoptoli will collect Tax Collected at Source (TCS) at the prescribed rates on the net value of taxable supplies made through the platform and remit the same to the appropriate Government authority.


If there are mismatches related to TCS, you must provide all required information to Shoptoli so that it may correspond with relevant authorities. Any liability arising from your omission will be your sole responsibility.


You are also required to provide the Harmonised System Nomenclature (HSN) code for each product listed. Products without an HSN code will be delisted and cannot be sold on Shoptoli.


Further, you must provide your valid GSTIN. Without a GSTIN, Shoptoli will be unable to raise invoices on your behalf, and your account transactions will be blocked. If you provide an Input Service Distributor (ISD) Registration Number, Shoptoli will issue invoices to that ISD GST registration number, and you will remain responsible for all related compliance.

Income Tax Compliance

Shoptoli is required to withhold taxes in accordance with the Income-tax Act, 1961. Currently, under Section 194-O, Shoptoli is liable to deduct taxes at the applicable rate on the sale of goods or services facilitated through the platform. Payments to you will be made after such deductions.

  • If you provide a Nil/Lower Deduction Certificate (LDC) issued under Section 197, Shoptoli will deduct/collect taxes at the rates specified in the certificate. If such certificates are modified by the Income Tax Officer later, you must inform Shoptoli, and any resulting liability will be your responsibility.
  • Shoptoli will deduct taxes at higher rates under Section 206AA and Section 206AB if required by law.
  • Shoptoli will issue Form 16A within the timelines prescribed under the Income-tax Act.
  • You are responsible for collecting Tax Collected at Source (TCS) under Chapter XVII-BB of the Income-tax Act, 1961, on sales made or services provided to Buyers, and for ensuring compliance in this regard. Shoptoli will not be liable for any TCS obligations applicable to you or the Buyer.

In the event of a conflict between this clause and any other clause in this ToU, the provisions of this clause shall prevail.

Inventory Purchase Restriction

You agree not to purchase more than 25% of your inventory (calculated on an annualized value basis in a financial year) sold on Shoptoli from Shoptoli or its group companies. For this purpose, “Group Company” shall have the meaning assigned under the prevailing Foreign Direct Investment (FDI) Policy of India.


Shoptoli may require you to submit certification (including an auditor’s certificate) to confirm compliance with this requirement.

Exclusivity Waiver

Shoptoli does not mandate exclusivity for the sale of your products on the platform. Effective February 1, 2019, Shoptoli unilaterally waives any obligation requiring you to sell exclusively on Shoptoli. Any prior written or verbal arrangement to the contrary shall be deemed void.

Tax Deduction at Source (TDS) under Finance Act, 2020

As per Section 194-O of the Finance Act, 2020, Shoptoli will deduct TDS on the gross amount of sales (excluding GST) of goods or services provided through the platform at the following rates:

  • 0.75% from October 1, 2020 to March 31, 2021
  • 1% from April 1, 2021 onwards

Content Posted on the Platform

All text, graphics, vendor interfaces, visual interfaces, photographs, trademarks, logos, sounds, artwork, notes, messages, emails, postings, drawings, profiles, opinions, ideas, images, videos, audio files, or other material/information (collectively “Content”) available on Shoptoli are third-party generated. Shoptoli, acting only as an intermediary, does not assume responsibility or liability for such third-party Content.


Except as expressly permitted under this Terms of Use, no part of the Platform or its Content may be:

  • copied,
  • reproduced,
  • republished,
  • uploaded,
  • publicly displayed,
  • encoded,
  • translated,
  • transmitted, or
  • distributed in any form (including mirroring),

to any other computer, server, website, or medium for publication, distribution, or commercial use without Shoptoli’s prior written consent.


You may download or use Content related to products and services on the Platform only if you:

  • Do not remove any proprietary notices in such Content,
  • Use the Content only for personal, non-commercial informational purposes,
  • Do not copy or share it on any network or media,
  • Do not modify the Content, and
  • Do not make additional representations or warranties relating to the Content.

Vendor Responsibility for Content

You are solely responsible for any Content you post or transmit on the Platform. By posting, you grant Shoptoli a non-exclusive, worldwide, perpetual, royalty-free, and transferable license to use, modify, adapt, enhance, refine, transform, and create derivative works from such Content.


This includes, but is not limited to, use with generative AI tools or for promotional, advertising, and marketing purposes across any media (current or future).


You agree that any Content you post may be used by Shoptoli in line with this Terms of Use and the Privacy Policy, and you will not be entitled to any payment or compensation for such use.

Limited License for Vendors

Shoptoli grants Vendors a limited, personal, non-transferable, non-exclusive, non-assignable, and non-sublicensable license to use the “Shoptoli” name and/or logo:

  • On Vendor invoices for transactions concluded on the Platform, and
  • On packaging material used by Vendors for delivering products sold on the Platform.

Vendor Categorization

A. All registered Vendors may be categorized based on criteria such as:

  • Sales performance (revenue and units),
  • Fulfilment experience (breaches and cancellations),
  • Percentage of local/zonal shipments,
  • Share of shipments delivered within the same zone,
  • Customer feedback (returns and ratings), etc.

Thresholds for each criterion will be transparently communicated through the Vendor Portal. Based on categorization or tier, Vendors may receive benefits such as:

  • Reduced shipping fee rates,
  • Account management support,
  • Faster payments.

Shoptoli reserves the right to revise categories, criteria, and benefits to promote healthy competition and improve customer experience on the Platform.

Shoptoli Empower Program

Eligibility for Vendors to avail benefits under the Shoptoli Empower Program includes:

  • Vendors selling handcrafted/artisan products (made by hand, using traditional/non-electrical tools, mostly natural materials),
  • Non-profit organizations (Section 8 companies/registered entities),
  • Specially-abled entrepreneurs with valid government-issued disability documentation,
  • Artisans/weavers with recognized government cards (Artisan Card, Pehchaan ID, etc.),
  • Indian government entities with required approvals,
  • Women entrepreneurs (eligible for program but without commission benefits),
  • LGBTQ+ entrepreneurs (with self-declaration, eligible for program but without commission benefits).

Benefits for Empower Vendors include:

  • Cataloguing and imaging support for up to 100 products (or as decided by Shoptoli),
  • Dedicated account management support,
  • Priority vendor support,
  • Commission benefits as outlined in program guidelines.

Additional support may include:

  • Visibility of products under a dedicated “Empower Store” section on the Shoptoli website,
  • Authorization to use the “Shoptoli Empower Partner” badge/logo,
  • Option to include disclaimers on product pages (e.g., handcrafted product),
  • Vendor training programs (virtual or on-ground).

Commercials

The following commercial terms shall remain in effect at all times, as per the slabs and illustrations below:

Vendors must provide all valid onboarding documents (e.g., GST registration certificate) at the time of registration to receive benefits. Onboarding documents must be valid and compliant with applicable laws.

Payment

  1. All transactions, pricing, delivery, and dispatch obligations are principal-to-principal between Vendors and Buyers.
  2. Shoptoli’s payment facility is only a service to facilitate transactions and does not make Shoptoli responsible for:
  • Non-delivery or non-receipt,
  • Non-payment,
  • Damages,
  • Fraud,
  • Warranty or after-sales issues,
  • Breach of representations.

By using Shoptoli’s payment facility, you authorize Shoptoli and its service affiliates to collect, process, and remit payments (electronic or COD) between Buyers and Vendors.


Shoptoli is an independent contractor, not a trustee or fiduciary, and does not guarantee:

  • The identity of Users, or
  • That a Buyer or Vendor will complete a transaction.

The payment facility is not a banking or financial service, but an online tool that leverages authorized banking infrastructure and payment gateways.

Claims & Disputes:

  • Any claims not covered by specific policies (Payment, FBF, SPF, etc.) must be raised within 180 days of the issue.
  • Vendors are required to reconcile their accounts periodically and raise disputes promptly.
  • Claims after the specified period will not be entertained.

COD Option: May not be available for certain products or categories, at Shoptoli’s discretion.
Bank Transfers: Online bank transfers are governed by the respective bank’s terms, along with Vendor–Buyer agreements.

Dispatch of Products / Services

As a Vendor, you must:

  • Dispatch products/services to the Buyer within the timeframes specified in this ToU,
  • Undertake transit insurance for all products sold (Shoptoli is not responsible for insurance),
  • Provide accurate dispatch and after-sales details to Shoptoli within policy timelines, failing which the transaction may be cancelled,
  • Use only approved delivery channels that provide valid Proof of Dispatch (PoD) and Proof of Delivery (PoD) documentation,

a. These PoDs must be retained for 3 years from the date of dispatch,

b. PoDs must be furnished to Shoptoli upon request within specified timelines.

Vendors must ensure dispatch details are true, correct, authorized, and not misleading, fraudulent, or illegal.
Failure to comply may result in penalties, including suspension or termination of the Vendor account.

Remittance to Vendor

Payment for a transaction will be remitted to the Vendor’s bank account when any of the following occurs:

  • Buyer confirms delivery of products/services,
  • Buyer does not confirm within the policy timeframe but Vendor has provided valid dispatch details,
  • Buyer’s refund claim is rejected due to breach of ToU, policies, or applicable law,
  • The transaction is completed as per RBI Intermediary Guidelines.

Logistics

Shoptoli may facilitate logistics services through approved logistics partners to improve shipment efficiency and customer experience. Vendors may choose to route their shipments through these logistics partners at their discretion.

Prepaid Payment Instruments

Shoptoli, either directly or through authorized third-party providers, may offer prepaid instruments as a payment option for transactions on the Platform. Purchases made by Buyers using such prepaid instruments shall be governed by the following terms:

  • Prepaid instruments can be used to make payments for products and/or services purchased on the Platform.
  • Buyers can redeem these instruments by selecting the appropriate payment mode on the Platform.
  • Prepaid instruments cannot be used to purchase other prepaid instruments or gift vouchers.
  • If the order value exceeds the balance of the prepaid instrument, the Buyer must pay the remaining amount using Credit Card, Debit Card, or Internet Banking. Cash on Delivery (COD) will not be available for such transactions.
  • If the order value is less than the balance, the remaining credit will stay available on the prepaid instrument.
  • Prepaid instruments and any unused balance will expire 1 year from the date of issue.
  • Prepaid instruments cannot be redeemed for cash.
  • Shoptoli is not responsible if prepaid instruments are lost, stolen, or used without authorization.
  • Buyers can use up to 3 prepaid instruments per order, and they may be combined with promotional codes.
  • Purchases of prepaid instruments are not eligible for cashback offers.
  • All Vendors must accept prepaid instruments as valid payment.
  • Shoptoli will remit payments to Vendors for products/services purchased using prepaid instruments (Electronic Gift Vouchers, EGVs) as per RBI guidelines.

Financial Facilities for Customers

  • Shoptoli has partnered with multiple financing partners to provide financial assistance to Customers, enabling them to purchase products on the Platform.
  • If a Customer opts for such financial assistance and the Vendor receives payment from the financing partner, all receivables from that Customer are automatically assigned to the financing partner.
  • Vendors authorize Shoptoli to enter into necessary documentation to complete such assignments.
  • After assignment, the financing partner will have all rights previously held by the Vendor with respect to Customer receivables.
  • The Customer shall be required to repay the financing partner directly.
  • Financing partners may further assign such receivables to NBFCs or financial institutions as permitted.

Deferred Payment Options for Customers

  • Shoptoli may enable deferred payment options, which allow Customers to pay for purchases in installments.
  • Customers will make part payment at order placement, and the remainder in deferred installments.
  • Eligibility for deferred payments will be determined by Vendors, with assistance from Shoptoli and its service providers.
  • Vendors authorize Shoptoli and its service providers to
  1. Assess Customer eligibility,
  2. Obtain Customer consent for data processing,
  3. Coordinate with Customers for installment collections.
  • Vendors remain solely responsible for collecting outstanding amounts from Customers.
  • Shoptoli will not assume ownership of receivables.
  • Any advance or excess payments made to Vendors by Shoptoli may be recovered via debit notes or other mechanisms.
  • Shoptoli’s role is limited to technical support for enabling deferred payment; all financial obligations remain between Vendor and Customer.

Charges

  • Registration on Shoptoli is free. Vendors are not charged for browsing or registering.
  • However, Vendors must review Shoptoli’s fee policy before listing products or services. This policy is incorporated by reference into this ToU.
  • Shoptoli reserves the right to:
  1. Modify the fee policy,
  2. Introduce new services with associated fees, or
  3. Amend fees for existing services.
  • Changes will be posted on the Platform and become effective immediately upon posting.
  • Unless otherwise stated, all fees are quoted in INR and payable to Shoptoli.
  • Vendors are responsible for compliance with applicable tax laws when making payments to Shoptoli.
  • Shoptoli may set off any Vendor dues against payments owed by Shoptoli to the Vendor.
  • Vendors authorize Shoptoli to collect any additional consumer-related fees on their behalf, which Shoptoli may retain if services have been rendered.

GST / Taxes

  • Vendors are responsible for paying all fees associated with the use of the Platform and any applicable taxes, charges, or cesses (including CGST+SGST / IGST / CGST+UGST and GST cess, as applicable to the transaction).
  • Shoptoli may, at its discretion, offer Express Remittance to eligible Vendors under its payment settlement policy. This facility is governed by RBI Intermediary Guidelines and directions of the nodal bank.

Express Remittance is a privilege, not a right, and may be withdrawn at Shoptoli’s discretion for any violation of these Terms or other Shoptoli policies.

Invoice Generation

  • Vendors expressly agree that issuing correct and complete invoices is their sole and primary responsibility.
  • Shoptoli may assist Vendors by generating invoices on their behalf, for which Vendors must provide a digital image of their signature.
  • Such invoices must be physically signed, printed, and affixed on consignments by the Vendor.
  • Vendors remain solely liable for any discrepancies or penalties imposed by taxation authorities.
  • For logistics-related inventory movements arranged via Shoptoli, invoices generated by Shoptoli will also carry the Vendor’s signature

Chargebacks and Payments

  • In the event of chargebacks levied by banks, Shoptoli may deduct such amounts from current or future Vendor remittances.
  • Vendors must fully cooperate in resolving disputes raised by Buyers through banks and provide necessary documentation. The bank’s decision shall be final and binding.
  • Any excess payments inadvertently made to a Vendor by Shoptoli will be adjusted against future payments.
  • Shoptoli may delay payment confirmation or dispatch instructions if transactions appear suspicious or involve unusually high volumes.
  • Shoptoli may withhold or remit transaction prices directly to law enforcement agencies, if required by law.
  • Payments will be made to the bank account provided by the Vendor during registration. Once payment is made, Shoptoli’s liability stands discharged.

Compliance with Laws

  • Vendors undertake to comply with all applicable laws and declarations under this ToU.
  • For jewellery sales, Vendors must:
  1. Provide hallmark certification as required by law,
  2. Comply with hallmarking regulations,
  3. Conduct Buyer KYC as per anti-money laundering laws.
  • Shoptoli disclaims responsibility for Vendor compliance in these matters.
  • Vendors must also comply with:
  1. Anti-money laundering laws,
  2. Sanctions laws (UN, India, OFAC, etc.),
  3. Trade regulations,
  4. Other applicable national and international laws.

Neither party will engage in transactions that cause the other party to violate such laws.

Data Protection Obligations

If Vendors process any personal data (such as Buyer information, Shoptoli employee/partner data, etc.) provided by or on behalf of Shoptoli, they agree to:

  • Comply with all applicable data protection laws, including the Digital Personal Data Protection Act, 2023.
  • Keep all personal data confidential, with obligations surviving in perpetuity.
  • Process such data only to fulfil obligations under this ToU — not for personal advertising, marketing, or unauthorized disclosures.
  • Maintain appropriate physical, technical, and administrative safeguards to prevent unauthorized access or security incidents.
  • Report cyber incidents to Shoptoli without undue delay, alongside regulatory reporting obligations.
  • Not retain Shoptoli’s personal data beyond what is necessary, and securely delete/destroy it when requested.
  • Provide Shoptoli with necessary cooperation for data subject rights requests (access, correction, deletion, etc.).

If Vendors provide personal data to Shoptoli, they warrant that it was lawfully collected and free of restrictions.

Product Compliancea

  1. Are legally permitted for sale,
  2. Comply with Shoptoli’s Prohibited & Restricted Items Policy,
  3. Adhere to Legal Metrology laws, including labeling and mandatory disclosures,
  4. Meet all requirements under Indian law.
  • Vendors are liable for any non-compliance, consumer complaints, or regulatory action. Shoptoli reserves the right to suspend/terminate Vendor accounts for violations.

Consumer Protection (E-commerce) Rules, 2020

Vendors agree to:

  • Not mislead consumers with false reviews.
  • Provide refunds, returns, replacements, warranties, guarantees, or cancellations as per law and Shoptoli policies.
  • Register with Shoptoli Internet Private Limited as Vendors.
  • Maintain a Consumer Grievance Redressal Mechanism.
  • Ensure that products/services listed are consistent with descriptions and claims.
  • Display accurate company details, product features, pricing breakdowns, manufacturing dates, expiry dates, warranties, country of origin, importer details (if applicable), and grievance officer details.

Legal Metrology (Packaged Commodities) Rules, 2011

  • Vendors must comply with labeling and product declaration requirements under the LM (PC) Rules.
  • Non-compliance makes the Vendor solely responsible for any legal repercussions.
  • Vendors indemnify Shoptoli for any fines, penalties, or damages resulting from such violations.

Vendor Supply Chain Commitments

Vendors covenant and warrant that they, and their supply chain partners (manufacturers, subcontractors, suppliers):

  • Comply with all applicable laws, regulations, and industry standards.
  • Do not engage in forced, prison, underage, or child labor.
  • Maintain safe and healthy working conditions.
  • Comply with human rights, environmental, and ethical standards.
  • Secure supply chains against fraud, smuggling, and theft.
  • Implement monitoring and periodic third-party audits.

Information Sharing

Shoptoli reserves the right to share Vendor information (including product details, images, and compliance documentation) with:

  • Brands,
  • Government authorities,
  • Authorized agencies,

to enforce compliance, protect customers, and prevent counterfeit products.

Vendor Action Framework

  • Shoptoli may take appropriate action against a Vendor for non-compliance with applicable laws, these Terms of Use, or any rules related to products listed by the Vendor.
  • Actions may include, but are not limited to, delisting or blacklisting the Vendor from the Platform.
  • Shoptoli may impose penalties for violations of these Terms as deemed appropriate.
  • Vendors are responsible and liable for any notices or governmental communications received by Shoptoli relating to their listed products.
  • Vendors must respond, defend, and hold Shoptoli harmless from any claims arising from their listings.
  • Vendors must list products in the correct category and must not mislead consumers by listing products under incorrect categories.
  • Vendors are responsible for addressing returns due to manufacturing defects and must coordinate with manufacturers to resolve such cases.
  • Vendors are responsible for any actions or penalties imposed on Shoptoli due to their non-compliance.
  • For more details, Vendors should refer to Shoptoli’s Prohibited & Restricted Item Policy.

Anti-Corruption

General Compliance

  • Vendors agree to perform under these Terms in full compliance with Shoptoli’s Global Anti-Corruption Policy and all applicable anti-corruption laws (including U.S. FCPA and UK Bribery Act).
  • Vendors must not directly or indirectly offer, promise, give, or authorize any bribes, facilitation payments, or improper payments to government officials, political parties, or candidates for business advantage.

Certification of Compliance

  • Vendors agree to certify compliance with anti-corruption laws, annually or upon request by Shoptoli.

Right to Audit and Cooperation

  • Vendors must maintain accurate books, records, and accounts reflecting all transactions and resources related to these Terms.
  • Shoptoli has the right to audit these records with reasonable notice.
  • Vendors must cooperate with any investigations or due diligence re-screening requested by Shoptoli.

Training

  • Vendors agree that employees, affiliates, and representatives involved in performance under these Terms will participate in anti-corruption training if requested by Shoptoli

Subcontractors

  • Vendors must obtain prior written authorization from Shoptoli before engaging subcontractors to perform services that involve interaction with government officials on Shoptoli’s behalf.

Right to Terminate

  • If Shoptoli reasonably suspects violations of anti-corruption policies or laws, it may suspend payments pending resolution.
  • Verified violations may result in termination of the Vendor’s agreement.
  • Vendors must comply with ongoing anti-corruption obligations and due diligence; failure to do so may also result in suspension or termination.

Form of Payment

  • All payments from Shoptoli to Vendors must follow receipt of a detailed invoice for products or services.
  • Payments will be:
  1. Made only by check or wire transfer to the Vendor’s account;
  2. Denominated in functional currency;
  3. Not in cash or bearer instruments.

Obligation to Provide Information

  • Vendors must notify Shoptoli within 30 days of any material change in ownership, management, shareholders, or control of the Vendor.
  • In such cases, the Vendor may be subject to due diligence and approval procedures for third-party intermediaries.
  • Vendors must provide timely updates to Shoptoli regarding any changes to representations made under these Terms.

No Government Interaction

  • Vendors and their employees, agents, or representatives are not authorized to engage or interact with any government entity or official on behalf of Shoptoli.
  • Any required engagement with a government entity must have prior written authorization from Shoptoli.

Anti-Corruption Clauses under Shoptoli Samarth Program

Compliance with Law and Policy

  • The Vendor is familiar with Shoptoli’s Anti-Corruption Policy (the “Policy”).
  • In connection with activities under this Terms of Use, neither the Vendor nor any agent, affiliate, re-grantee, director, employee, or representative acting on its behalf shall offer, promise, give, or authorize any bribe, rebate, payoff, influence payment, kickback, or other unlawful payment to any government official or political party to obtain or retain business, gain unfair advantage, or influence any government act or decision.

Compliance Certifications

  • Upon request by Shoptoli, the Vendor shall provide a written certification, signed by its legal representative, confirming understanding and compliance with this Policy and applicable anti-corruption laws.
  • Such certifications may be requested annually or as otherwise required by Shoptoli during the term of this agreement.

Audit Rights

  • Vendors must maintain accurate books, records, and accounts reflecting all transactions and use of resources or assets.
  • Shoptoli has the right to audit these transactions at any time with reasonable notice, particularly related to obligations or benefits under this Terms of Use.

Right to Terminate

  • If Shoptoli reasonably determines that a Vendor has violated the Policy or applicable anti-corruption laws, Shoptoli may immediately:
  1. Suspend future benefits, and
  2. Suspend or terminate the Vendor’s Terms of Use.

Government Affiliations

  • Vendors must disclose if any directors, officers, shareholders, or key personnel are government officials, or if close family relationships exist with any government officials.
  • Vendors must notify Shoptoli if:
  1. New close family relationships arise, or
  2. Any director, officer, employee, shareholder, agent, or representative becomes a government official during the term.
  • Close family relationships include parents, siblings, spouses, spousal equivalents, and children.
  • Vendors must also disclose if any financial stakeholders in the Vendor entity are government officials, and notify Shoptoli of any changes during the term.

Material Change of Business, Management, or Control

  • Vendors must notify Shoptoli 30 days in advance (or within 3 business days of knowledge) if there is a material change in:

  2. Board, management, or mission,
  3. Control of the Vendor, or
  4. Transfer of control to a third party.
  • In such cases, the Vendor may undergo due diligence and approval under Shoptoli’s Anti-Corruption Policy.
  • Shoptoli reserves the right to terminate the agreement early based on the due diligence results.

Form of Payment

All payments, if any, will be:

  • Made by check or wire transfer to the Vendor’s account (not to individuals),
  • Denominated in INR, and
  • Not in cash or bearer instruments.

Obligation to Provide Information

Vendors must provide timely updates to Shoptoli regarding any changes to representations under this Terms of Use.

Cooperation with Investigations

Vendors must provide assistance and cooperation in any investigations related to benefits received under this Terms of Use.

Training

Any Vendor employees interacting with government officials must participate in anti-corruption training if requested by Shoptoli.

Product Description

Shoptoli does not warrant that product descriptions or other content on the Platform are accurate, complete, reliable, current, or error-free and assumes no liability in this regard.

Audits

  • Shoptoli has the right to inspect and audit a Vendor’s records and business premises through itself or approved third-party agencies.
  • The cost of such audits will be borne by Shoptoli unless the audit identifies discrepancies in Vendor accounts or non-compliance with Shoptoli policies, in which case the Vendor will bear the cost.

Breach

Without limiting other remedies, Shoptoli may:

  • Limit your activity,
  • Remove your information,
  • Warn other users of your actions,
  • Temporarily or permanently suspend, terminate, block, or put your account on hold, or
  • Refuse access to the Platform

In cases including but not limited to:

  • Breach of ToU, privacy policy, or other Shoptoli policies (e.g., Prohibited & Restricted Item Policy);
  • Inability to verify or authenticate the information you provide;
  • Actions that may cause legal liability to you, other users, or Shoptoli;
  • Failure to produce legally required documents for specific product categories, such as drugs, cosmetics, BIS licenses, brand authorization letters, or trademark registration proofs.

Shoptoli may, at its sole discretion, reinstate suspended Vendors. Suspended or blocked Vendors cannot re-register or use the Platform through any entity until reinstated.

Shoptoli reserves the right to recover any amounts owed and take strict legal action, including referral to police or other authorities, in case of breaches.

Indemnity

Vendors shall indemnify and hold harmless Shoptoli, its owners, affiliates, subsidiaries, group companies, and their officers, directors, agents, and employees from any third-party claims, demands, actions, or penalties arising out of:

  • Breach of the ToU, privacy policy, or other Shoptoli policies,
  • Violation of any law, rule, or regulation, or
  • Infringement of third-party rights, including intellectual property rights.

Trademark and Copyright Complaints

  • Shoptoli respects the intellectual property of others.
  • For trademark infringement, Vendors can contact Shoptoli at support@shoptoli.in.
  • For copyright infringement, Vendors can contact Shoptoli at support@shoptoli.in or raise a complaint via their Vendor dashboard.

Trademark, Copyright, and Restrictions

  • The Platform is controlled and operated by Shoptoli, and products are sold by respective registered Vendors.
  • All material on the Platform, including images, illustrations, audio clips, and video clips, is protected by copyrights, trademarks, and other intellectual property rights.
  • Vendors must not copy, reproduce, republish, upload, post, transmit, or distribute Shoptoli’s or other Vendors’ material, directly or indirectly, without prior written consent.
  • Any modification or use of material on other websites, networks, or for commercial purposes without permission is prohibited.
  • Commercial use includes any use where you receive remuneration, monetary or otherwise.

Limitation of Liability

IN NO EVENT SHALL SHOPTOLI BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES OF ANY KIND IN CONNECTION WITH THIS ToU, EVEN IF SHOPTOLI HAS BEEN INFORMED IN ADVANCE OF THE POSSIBILITY OF SUCH DAMAGES.

Applicable Law

This ToU shall be governed, interpreted, and construed in accordance with the laws of India.

The exclusive place of jurisdiction shall be West Bangal, India.

Jurisdictional Issues / Sale in India Only

Unless otherwise specified, material on the Shoptoli website is presented solely for sale in India.

Shoptoli makes no representation that the material is appropriate or available for use in other locations/countries outside India.

Users who access Shoptoli from outside India do so at their own initiative. Shoptoli is not responsible for supplying products, issuing refunds, or ensuring compliance with local laws outside India.

Vendor Declarations

Vendors hereby represent, warrant, covenant, and undertake that they have obtained and will continue to maintain all licenses, registrations, permissions, authorizations, certifications, compliances, and permits necessary to manufacture, import, store, display, advertise, distribute, market, supply, and sell their products (“Products”) on the Shoptoli platform under all applicable laws, legislations, notifications, circulars, orders, directions, advisories, or other regulatory requirements, as amended from time to time.

Vendor Declarations by Product Segment

Cosmetics

  • Vendors shall comply with the Drugs and Cosmetics Act, 1940 and Cosmetics Rules, 2020, including all amendments.
  • Vendors must follow all requirements related to advertising, distribution, marketing, supply, and sale of cosmetic products on Shoptoli.
  • Over-the-counter or prescription medicines must not be listed under cosmetics; violation will be considered a serious breach.
  • Vendors manufacturing or importing cosmetics must comply with all standards, including those under the Bureau of Indian Standards (IS 4707 Part 1 & 2), and confirm that no products are tested on animals.
  • Any changes in labeling, composition, testing, or specifications must be reported to Shoptoli within 15 days.

BIS Certification

  • Vendors must comply with the Bureau of Indian Standards Act, 1986, Electronics and IT Goods Registration Orders, and other applicable laws.
  • All required certificates and authorizations must be obtained and maintained for lawful sale of products.

Products containing Animal Parts

  • Products such as corals, seashells, real insect keychains, etc., must comply with the Wildlife (Protection) Act, 1972.
  • Vendors must ensure no scheduled animals or restricted parts are sold.

Products containing Plastic

  • Vendors must comply with Plastic Waste Management Rules, 2016 and Environment Protection Act, 1986.
  • Necessary certificates and authorizations must be obtained and maintained.

Manjha (Kite Thread)

Vendors shall not sell synthetic/nylon manjha as per National Green Tribunal orders banning such products.

Gold Jewellery

Vendors must comply with BIS Hallmarking Regulations and sell only through certified outlets.

WPC & TEC

Compliance is required with Indian Telegraph and Wireless Acts, Telecom Equipment certification, and related regulations.

National Honour Products

Vendors must comply with laws regarding the National Emblem, Flag, and other national symbols.

Drugs and Allied Products

  • Vendors must comply with the Drugs & Cosmetics Act, Medical Devices Rules, Narcotic Drugs & Psychotropic Substances Act, and related regulations.
  • Prescription drugs must be sold only in the correct vertical with proper licenses.
  • Vendors shall not promote misbranded, counterfeit, or spurious products.
  • Compliance with government-mandated product recalls and advertising restrictions is mandatory.

Cigarettes & Tobacco Products

Vendors shall not sell tobacco products or electronic nicotine delivery systems and must comply with applicable regulations.

Products with Khadi Mark

Vendors shall comply with the Khadi & Village Industries Commission Act, 1956.

Antiquities and Art Treasures

Vendors must indicate if items are non-exportable and comply with the Antiquities & Art Treasures Act, 1972.

Infant Milk Substitutes

Compliance with the Infant Milk Substitutes Act, 1992 is mandatory.

Food Products

  • Vendors shall comply with the Food Safety and Standards Act, 2006, related regulations, and licensing requirements.
  • Accurate product information, labeling, shelf life, hygiene, and safety standards must be maintained.
  • Vendors shall promptly notify Shoptoli of FSSAI license lapses or regulatory actions.
  • Only products covered under the FSSAI license shall be sold.

Greenwashing Guidelines

  • Vendors must not make false environmental claims.
  • Compliance with all environmental protection laws and greenwashing guidelines is required.
  • Environmental claims must be accurate, verifiable, and supported by credible evidence.

Regulatory Compliance and Undertakings by Vendors

Vendors represent, warrant, and undertake to comply with all applicable regulations for products sold on Shoptoli, including

  • Legal Metrology Act, 2009 and Packaged Commodities Rules (2011, 2017, 2021), including FAQs and amendments. Vendors must maintain all necessary certificates and authorizations for lawful sale.
  • Consumer Protection (E-commerce) Rules, 2020 and subsequent amendments, ensuring that product descriptions, images, and other content accurately reflect the nature, quality, purpose, and features of the goods or services.
  • Foreign Exchange Management Act, 1999, Customs Act, Information Technology Act, 2000, Prevention of Money Laundering Act, 2002, Foreign Contribution Regulation Act, 1976, Income Tax Act, 1961, and Export-Import Policy of India, as applicable for using payment facilities.

Vendors confirm they will not list products that are grown, produced, manufactured, extracted, processed, sourced from, or transported through:

  • Cuba, Iran, North Korea, Syria
  • Ukraine regions: Luhansk People’s Republic, Donetsk People’s Republic, Crimea

Vendors acknowledge that Shoptoli relies on these undertakings, and any breach may cause irreparable harm. Vendors undertake to indemnify and hold Shoptoli harmless from any breach immediately upon request.

Vendors must immediately notify Shoptoli in writing of the lapse of any certificates or authorizations, or receipt of any regulatory order, demand, or action.

If authorities request certificates, vendors shall provide copies as soon as possible. Any delay or absence causing loss or penalty to Shoptoli will be recovered from the vendor within 7 days of the demand.

Vendors agree that Shoptoli may assign or furnish this undertaking to any authority or person.

Governing Law & Jurisdiction:

The laws of the Republic of India shall govern these undertakings.

Courts in Bengaluru shall have exclusive jurisdiction.

Notices:

  •  Any notice sent by Shoptoli to the vendor via registered email will be deemed received 1 business day after sending.
  • Notices sent by post: 3 business days.
  • Notices hand-delivered: upon delivery.
  • Vendors undertake to keep Shoptoli updated with any changes to their registered information.

By agreeing to Shoptoli’s Terms of Use, vendors confirm that all declarations above are true and accurate and agree to be bound by them for products sold on the platform.

Annexure – I: Declarations for Pharmaceuticals, Drugs, Cosmetics, and Allied Products

Vendors declare that they are the supplier, authorized reseller, manufacturer, or brand owner (as applicable) of the product and intend to sell it to end customers on Shoptoli. Vendors represent, warrant, covenant, and undertake that they have obtained and will maintain all required licenses, permissions, authorizations, and permits needed to distribute, market, supply, and sell products on Shoptoli under applicable Indian laws, including but not limited to:

  • Drug Regulations: Drugs and Cosmetics Act, 1940; Drugs Rules, 1945; Medical Devices Rules, 2017; Narcotic Drugs & Psychotropic Substances Act, 1985; Pharmacy Act, 1948; Telemedicine Practice Guidelines, 2020; and related legislation.
  • Vendors must immediately notify Shoptoli upon lapse of any drug license or receipt of any regulatory notice.
  • Bureau of Indian Standards & Certifications: Compliance with BIS, Electronics & IT Goods registration, Energy Conservation Act, and related authorizations.
  • Plastic Waste Management: Compliance with Plastic Waste Management Rules, 2016 & 2021; Environment Protection Act. Waste must be disposed of according to Biomedical Waste Rules, 2016.
  • Tobacco Products & E-Cigarettes: Compliance with Cigarettes and Other Tobacco Products Act, 2003, and Prohibition of Electronic Cigarettes Act, 2019.
    6–7. Legal Metrology: Compliance with Legal Metrology Act, 2009, and Packaged Commodities Rules & amendments.
  • Compliance with Foreign Exchange Management, Customs, IT Act, PMLA, FCRA, Income Tax, and Export-Import Policy as applicable.
  • Food Safety & Standards: Compliance with FSSAI regulations, displaying valid licenses, accurate product info, hygiene standards, labeling, shelf life, and ensuring fitness for consumption. Vendors must notify Shoptoli immediately of any lapse of FSSAI license.
  • Vendors must avoid selling or promoting misbranded, counterfeit, adulterated, or spurious products under the Drugs & Cosmetics Act.
  • Compliance with product recall requirements.
  • Ensure accurate product descriptions, images, and content.
  • Maintain true, correct, and complete vendor information and allow Shoptoli to suspend access for non-compliance.
  • Do not sell drugs scheduled under Narcotics and Psychotropic Substances, unless licensed.
  • Vendors shall not misrepresent products, licenses, or invoices.
  • Declare that products are genuine, sourced from original sources, and meet quality standards.
  • No expired or near-expiry products shall be sold. Vendors manage expiry and shelf-life responsibility.
    18–22. Compliance with Cosmetics Rules, 2020, BIS standards, and animal testing prohibitions.
    23–25. Compliance with Infant Milk Substitutes Act and any other Government-specified requirements.
    26–27. Maintain accuracy of representations while advertising, distributing, marketing, supplying, or selling on Shoptoli, including labeling standards under the Drugs & Cosmetics Act.
  • No sale of prohibited narcotic or psychotropic drugs as per laws.
    29–31. Maintain all licenses and avoid promoting adulterated or misbranded products.
  • Provide accurate and complete product information.
  • Use Shoptoli platform in accordance with Vendor ToU and policies.
  • Shoptoli is not liable for direct, incidental, consequential, or punitive damages related to product sale, license, invoice, or supply.
  • Shoptoli may assign or furnish vendor undertakings to any authority or person.
  • Procure products only from authorized distributors, vendors, manufacturers, or resellers.

We acknowledge that Shoptoli has relied on this undertaking and that any breach thereof will cause irreparable harm to Shoptoli. We unconditionally undertake to indemnify and hold Shoptoli harmless against any and all damages, losses, expenses, claims, and costs suffered by Shoptoli as a consequence of any breach of applicable laws, unauthorized use or misuse of licenses, or issuance of invoices to end users by us resulting from the sale of products on the platform.


In the event that the relevant authority demands any certificate from Shoptoli, we shall produce a copy of the said certificate at the earliest. Any delay in producing the certificate or absence of a certificate that leads to any loss or penalty to Shoptoli shall be recovered from the vendor providing the declaration within seven (7) days from such demand.


We acknowledge and agree that Shoptoli shall be permitted to assign or otherwise furnish this undertaking to any authority or person.


The courts in Bengaluru shall have exclusive jurisdiction over any matters set forth herein, and this will be governed by the laws of the Republic of India.


Any notice given by Shoptoli to us via email registered with them or at our registered address shall be deemed received one (1) business day after the email is sent, three (3) business days in case of post, and upon hand delivery, on delivery. We undertake to keep Shoptoli updated with any changes to our registered information.


Vendors shall adhere to the Information Security requirements listed in Annexure III if enabled with a tech integration or onboarded to the vendor portal to receive business-critical and sensitive information from Shoptoli. Vendors shall implement and maintain reasonable information security practices as per the IT Act and ISO 27001 Information Security Management controls as mentioned in Annexure II of the agreement.


By agreeing to these Terms of Use, we acknowledge that the declarations stated above are true and accurate, and we agree to be bound by them to the extent applicable.

Shoptoli Vendor Privacy Policy

We value the trust you place in us and recognize the importance of secure transactions and information privacy. This Privacy Policy describes how Shoptoli Private Limited and its affiliates (collectively referred to as “Shoptoli”, “we”, “our”, “us”) collect, use, share, or otherwise process your personal data through the Shoptoli Vendor Portal – https://shoptoli.in/vendor-register, including its related mobile site and mobile application (hereinafter referred to as the “Platform”).
By visiting or using this Platform, you are agreeing and consenting to the practices described here and agree to be bound by the terms and conditions of this Privacy Policy. If you do not agree, please do not use or access our Platform.
By using the Platform or providing your information, you expressly agree to the terms and conditions of this Privacy Policy, the Terms of Use, and any applicable service/product terms, and agree to be governed by the laws of India, including but not limited to the laws applicable to data protection and privacy.

We only collect information that is necessary for lawful purposes connected with business requirements. When you use our Platform, post information on public platforms, or use our services, we collect, process, and store the information you provide to us.

  • Business details: business name, GSTIN, address, primary category, turnover
  • Verification details: PAN, KYC information (excluding Aadhaar), government-issued IDs
  • Financial details: bank account, cancelled cheque, account information
  • Brand documents: NOC certificates, ownership and compliance certificates
  • Online presence: business website links, blog URLs, etc.
  • System data: IP address, device information, location, etc.

We may use your contact information (such as email address) to send you communications and service-related updates. You can withdraw your consent at any time by unsubscribing or contacting us.

Use of Information

Your information is collected primarily to:

  • Provide sellers a smooth, customized experience
  • Assist with account setup, management, and compliance
  • Verify identity and eligibility for services
  • Enhance seller training, cataloging, advertising, and warehouse management
  • Prevent fraud, resolve disputes, and troubleshoot problems
  • Issue GST invoices and comply with legal requirements
